APPROVAL GRANTED FOR A MERGER IN THE INFORMATION TECHNOLOGY SECTOR

The Competition Council has granted permission to the Norwegian investment company Hawk Infinity to acquire, indirectly through the special purpose undertaking HIH VI, 85% of the shares in the Lithuanian company Raso and to take sole control of it.

The merger notification was received on 23 April 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.

Hawk Infinity invests in various companies operating in the information technology sector. Its Lithuanian affiliates – Robolabs, UCS Baltic, WhiteBit, and the Latvian company UCS offer services in our country for accounting, document processing, business analytics, and the implementation of specialised computerised accounting and management systems, as well as cybersecurity, data transmission networks, virtualisation and other specialised solutions in the field of information technology. 

In Lithuania, Raso is engaged in the wholesale trade of computerised accounting and management system equipment and provides installation, integration, and technical support services for this equipment.

The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in the last year before the merger exceed EUR 2 million.
