APPROVAL GRANTED FOR FOOD SERVICE SECTOR TRANSACTION

The Estonian company Apollo Group will be able to acquire 100% of the shares in Restoranai dvylika and CCF kavinės and assume joint control of these companies. The Competition Council has approved the transaction.

The merger notification was received on 16 June 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.

Apollo Group is engaged in the activities of holding companies. Its related undertakings develop real estate projects, trade in veterinary products and medicines, engage in investment activities, manage cinemas, provide catering, entertainment, advertising, marketing, logistics, media monitoring, news agency and other services. Apollo Group’s restaurant portfolio in Lithuania includes the KFC, Delano and Can Can Pizza brands.

Restoranai dvylika provides public catering services and operates ten restaurants under the Restoranas 12 brand in Vilnius and Kaunas.

CCF kavinės operates the Caif Cafe chain of cafés in Vilnius, Kaunas, Klaipėda, Šiauliai and Marijampolė, where it provides catering services.

The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 2 million.
