PERMISSION GRANTED TO ICE CREAM MANUFACTURERS TO COMPLETE A TRANSACTION

The Competition Council has allowed the ice cream manufacturer Froneri International Limited to acquire 100 % of the shares of Food Union Luxembourg Group and to obtain its sole control.

The merger notification was received on 4 November 2025. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.

Froneri International Limited is a producer and license holder of various ice cream brands. In Lithuania, its products are sold under the brands Manhattan, Oreo, Milka, Scholler, and Pirulo.

The company has no subsidiaries in Lithuania and does not manufacture products locally. It imports products into Lithuania and sells them through third-party retailers or distributors. Froneri International Limited, registered in the United Kingdom, is jointly controlled (owned and supervised) by the French company Partners and the Swiss company Nestlé.

The European dairy and ice cream manufacturing group Food Union Luxembourg Group operates in the Baltic States, Denmark, Norway, and Romania. In Lithuania, entities associated with this group sell ice cream products, mostly under local brands, including Pols, Klasika, Jocker, Bravo, and Ekselence.

The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in the last year before the merger exceed EUR 2 million.
