SWEDISH COMPANY RELATED TO VILNIAUS DUONA RECEIVES APPROVAL FOR TRANSACTION
The Competition Council has granted permission to Swedish company Lantmännen to acquire 100 % of the shares of the Finnish company Leipurin and, indirectly, 100 % of the shares of the Swedish company Kobia, Leipurin’s subsidiaries registered in Finland, Latvia, Lithuania and Estonia, as well as the Finnish companies LT HC One and LT HC Two, and to take sole control of these companies.
The merger notification was received on 29 January 2026. Having assessed the circumstances of the transaction, the Competition Council has concluded that the proposed merger will not result in the creation or strengthening of a dominant position or significant restriction of competition in the relevant markets.
Lantmännen and its related companies, including Vilniaus duona, produce and sell frozen and freshly baked products in Lithuania. Other related companies engage in the manufacture and wholesale supply of plant proteins and gluten, as well as wholesale supply of biofuels, biomaterials, grain, seeds, agricultural products, fertilizers, plant protection products, and machinery (e.g., forklifts and excavators).
Leipurin and its related companies in Lithuania engage in the wholesale supply of food products (raw materials and ingredients), such as grain products, eggs, fruit and berries, potatoes and vegetables, malt products, mixes and concentrates, seeds and nuts, icings, dairy products and their plant-based alternatives, spices, gluten etc., as well as non-food products such as baking paper, boxes or confectionery packaging and pallets.
The intended merger must be notified to the Competition Council and cleared if the combined total revenues of the undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 20 million and the total revenues of each of at least two undertakings involved in the concentration in Lithuania in the last year before the merger exceed EUR 2 million.
